What this document is for: Use this with anyone who designs, writes, builds, edits, develops, records, or creates anything for or with the Company, anywhere in the world. That includes graphic and logo designers, brand and web designers, video editors, writers, developers, marketers, consultants, agencies, and freelancers you hire through outside platforms or marketplaces. It makes clear that the Company owns everything they create for it, that they cannot reuse, resell, replicate, or claim any of it, and that even ideas and concepts discussed in a meeting belong to the Company. Send it to sign before work begins, share it at the start of any meeting, or set it up as a GoHighLevel onboarding form.
This Agreement is between Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (the "Company," "we," or "us"), and the person or business that creates, designs, develops, or contributes work for or with the Company, or who is exposed to the Company's concepts or materials (the "Creator," "you," or "your"). You accept this Agreement when you sign it, check the box on a Company form, or begin any work or discussion for or with the Company. This Agreement applies worldwide, regardless of where you live or work.
This Agreement governs all work, designs, content, materials, and contributions you create, develop, or deliver for or with the Company Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us"), and all concepts and materials the Company Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") shares with or shows you, whether in a paid engagement, a trial, a sample, a pitch, a meeting, a call, or a message. It applies to everything connected to the Company's brands, products, programs, and intellectual property.
All Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") work, deliverables, designs, logos, artwork, graphics, copy, scripts, video, audio, code, and other materials you create for the Company in connection with an engagement are "works made for hire" to the fullest extent permitted by law, and the Company is the author and owner of them from the moment they are created.
To the extent any Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") work, deliverable, or contribution is not a work made for hire, or the law of any country does not recognize works made for hire, you now irrevocably assign and transfer to the Company, exclusively and worldwide, all right, title, and interest in and to that work and all related intellectual property, including all copyrights, trademarks, design rights, database rights, patent rights, and any other rights, now known or later created, for the full duration of those rights everywhere in the world. You agree to sign any further document and to do anything reasonably needed to confirm or register the Company's ownership, at the Company's request and expense, and you appoint the Company as your attorney-in-fact to do so if you do not.
Any Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") concept, idea, design direction, name, theme, structure, framework, plan, or material that is discussed, shown, sketched, or developed in any meeting, call, conversation, or message with the Company, whether by you or by the Company, belongs to the Company. You receive no rights in it. You will not take, reuse, develop, claim, register, or share any such concept or idea, for yourself or for any third party, during or after your engagement.
You will not reuse, resell, repurpose, relicense, publish, distribute, or display any Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") work you create for the Company, including in a portfolio, case study, social post, or sample, without the Company's prior written permission. The Company may grant or refuse that permission in its sole discretion.
You will not, directly or indirectly, anywhere in the world, copy, adapt, reproduce, reverse-engineer, or create a derivative, similar, or competing version of the Company's Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") concepts, designs, brands, frameworks, products, programs, or materials, for yourself or for any third party, including any school, organization, agency, platform, or company of any size. This restriction applies during and after your engagement.
You will keep all of the Company's Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") non-public information, including its plans, pricing, methods, designs, drafts, frameworks, customer and partner information, and unreleased products, in strict confidence, use it only to perform your work, and not disclose or use it for any other purpose. This obligation applies worldwide and continues for ten (10) years after your engagement ends. It does not cover information that is public through no fault of yours, that you already lawfully knew without a duty of confidence, or that you develop independently without using the Company's information.
You will not go around the Company Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") to its clients, partners, vendors, sources, or contacts that you learn of through your engagement in order to take work, recreate the Company's offering, or compete with the Company. You will not solicit the Company's clients or team for two (2) years after your engagement, except through general advertising not aimed at them.
You confirm that your work is original, that it does not infringe the intellectual property, privacy, or other rights of anyone, and that you have not used any third-party, stock, font, or artificial-intelligence-generated asset without the proper rights and without telling the Company in writing. You will indemnify and hold the Company Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") harmless from any claim that your work infringes a third party's rights.
You will deliver to the Company Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") all final files, working and source files, layered designs, fonts and their licenses, links, and access credentials connected to the work, free of any lien or claim, on delivery or on the Company's request.
You are an independent contractor, not an employee, agent, or partner of the Company Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us"). You are responsible for your own taxes, benefits, expenses, tools, and for complying with the laws and tax rules of your own country and location. You have no authority to bind the Company.
This Agreement applies worldwide and binds you regardless of the country you live or work in. You will comply with all laws that apply to your work, including export, sanctions, data-protection, and tax laws. The Company's Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") ownership of the work and the restrictions in this Agreement are intended to be enforceable in your country and in the United States.
The Company Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") will pay you the fee agreed in writing for accepted work. The Company's Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") ownership and your assignment of rights are effective and irrevocable, and a dispute about payment does not give you the right to use, withhold, reclaim, publish, or resell the work or to cancel the Company's Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") ownership. Your remedy for any unpaid agreed fee is a claim for that fee, not a claim to the work.
To the fullest extent permitted by law, you waive any moral rights, rights of attribution, and rights of integrity you may have in the work, in every country where those rights exist, in favor of the Company.
You agree that a breach or threatened breach of this Agreement may cause the Company Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") harm that money alone cannot fully repair. In addition to any other remedy, the Company Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") may seek injunctive relief, in any court of competent jurisdiction and in any country, without posting a bond, and may recover reasonable attorneys' fees and costs incurred in enforcing this Agreement. These remedies are cumulative.
This Agreement applies to each engagement and continues afterward. Either party may end an engagement in writing. On termination, you will deliver all work and materials and stop using the Company's Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") information and materials. The ownership, assignment, confidentiality, non-replication, non-circumvention, and moral-rights sections survive termination.
This Agreement is governed by the laws of the State of Alabama, United States, without regard to conflict-of-law rules. You agree that any dispute will be brought in the state or federal courts located in Lee County, Alabama, or, at the Company's Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") election, in another venue where the Company is formed, is registered, or maintains a principal place of business, and you consent to personal jurisdiction and venue in any such court, wherever you are located.
Your typed name, together with a checked agreement box on a Company Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us") form or a signature on this document, is intended to be a valid electronic signature and to make this Agreement binding to the same extent as a handwritten signature.
By signing, checking the box, or beginning work or a discussion with the Company Churmell Mitchell LLC and its brands, including Emotions You Know™, A Father's Voice Matters, A Mother's Voice Matters, Refill™, BRB Again, Churmell Mitchell, and Churmell Mitchell Productions (together, the "Company," "we," "our," or "us"), you confirm that you have read, understood, and agree to this Agreement, and, where they apply, the Terms and Conditions and Privacy Policy.
